1. Introduction

2. Acceptance of the Agreement
MGA Software Information Distribution and Consultancy Services Ltd. Şti (hereinafter referred to as “MGASOFT”) is the sole owner of all rights, titles and interests in and to the Platform, and all the organizational, operational and management authority to use and dispose of the Platform is vested in MGASOFT. By using the Platform, you represent that you have read, understood and agreed to be bound by these Terms of Use and to comply with all applicable laws and regulations. If you do not agree with these Terms of Use, you should not use the Platform. By accepting these Terms of Use, you also agree to comply with all other rules, policies and procedures that may be published or announced from time to time on the Platform.
You acknowledge that each of the sub-applications of the Platform has its own unique terms of use and you agree to comply with them as well.
3. Changes
MGASOFT reserves the right to make unilateral changes, adjustments, renewals and updates to the Platform at any time. Any changes made will be deemed accepted if the Platform is used thereafter. Therefore, it is necessary to regularly review the Terms of Use and to discontinue the use of the Platform if the changes made to the Terms of Use are not accepted.
4. Personal Data
MGASOFT protects the personal data of the Users with care. Necessary measures are taken within the framework of the policy established for this purpose. Your personal data is subject to this policy and you are deemed to have given express consent to the processing of your personal data (related to the use) by visiting the Platform. Before continuing to use the Platform, you can learn about how your personal data can be processed, how your User rights in this context can be used, and how cookies and similar technologies can be rejected or deleted by reading the Privacy Notice.
5. Purchase of Services
The provisions regarding the purchase and sale of courses, services, and applications offered through the Platform will be valid as set forth in the Sales Agreement during the purchase and sale process.
6. User Responsibilities
The Platform and Channels can be used without creating a user account or logging in as a member. However, in order to access certain content and use certain features, a user account may be required.
The user shall act in accordance with the Terms of Use, applicable legislation, and ethical principles in all transactions and activations carried out on the Platform. They shall not share their account or account information with anyone. The user acknowledges and accepts that they are responsible for ensuring the confidentiality and security of their account, and for all activities carried out through or on their account on the Platform, and that they bear legal and criminal liability for all actions and activities performed on the Platform.

MGASOFT has the right to terminate the User's use of the Platform, block access to the information and content uploaded to the system, and delete them in case of violation of the Terms of Use or legal provisions. These measures do not waive MGASOFT's right to seek compensation for any damages suffered.
7. Disclaimer of Warranties and Representations
All courses, information, tables, analyses, reports, opinions, and other materials and content provided on the Platform or through electronic mail or other communication channels are for informational purposes only. The content is not investment advice. The content and courses contain only general views, tables, and information and may not contain sufficient information to support your investment decisions and trading transactions.
MGASOFT makes no warranties or representations regarding the accuracy, completeness, timeliness, or appropriateness of the content on the Platform. The user is responsible for verifying the content and making independent investment decisions based on their investment objectives, financial situation, and specific needs. 8. Intellectual and Industrial Property Rights
MGASOFT is the sole owner or the licensee of all courses, text, graphics, user interfaces, visual interfaces, software, commands, source code, APIs, photographs, sounds, music, videos, interactive features, trademarks, and logos, and all other content related to the Platform, including but not limited to all intellectual property and unfair competition rights that protect such content.
The User agrees not to copy, modify, rent, lease, sell, distribute, exploit, or create derivative works based on the Content or any part thereof in any way. MGASOFT does not grant any rights to the User regarding the Content or its use under these Terms of Use.
9. Services Obtained from Third Parties
MGASOFT shall not be liable in any way for defects in goods, services, and data obtained from third parties in the scope of the services provided. The user acknowledges and agrees that they release MGASOFT from any and all liability that cannot be attributed to them under the Consumer Protection Law and related legislation.
10. Indemnification
The User acknowledges and agrees that they shall be responsible for any damages and claims arising from their non-compliance with the Terms of Use or any unlawful behavior while using the Platform, or any infringement of third-party rights.
11. Severability
If any provision of the Terms of Use is found to be invalid, unlawful or unenforceable for any reason, the remaining provisions and references to other documents shall remain valid and enforceable.
12. Applicable Law and Jurisdiction
Any dispute arising from or related to the access or use of the Platform shall be governed by the laws of the Republic of Turkey. The courts and enforcement offices of Bakırköy shall have jurisdiction over any disputes.
